SMARTALEC™ END-USER LICENSE AGREEMENT

IMPORTANT - CAREFULLY READ THE TERMS AND CONDITIONS OF THIS END-USER LICENSE AGREEMENT BEFORE YOU LOGIN TO SMARTALEC™. 

BY LOGGING IN TO SMARTALEC™ YOU ARE CONSENTING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS OF THIS AGREEMENT YOU MAY NOT LOGIN TO SMARTALEC™ OR OTHERWISE USE THE SOFTWARE.

  1. References to "we", "us" and "our" are to Wired Internet Solutions Limited, the owners of the SmartAlec software ("Software") and documentation ("Documentation") offered on this site (and as modified or revised from time to time). References to "you" and "your" are to all users logging into or otherwise accessing the Software and Documentation.
     
  2. SmartAlec™ is a browser based website management tool that is hosted centrally in our data centre. You are able to amend the content on this SmartAlec™ powered web site through an administration area that is accessible using a web browser through the Internet.
     
  3. Ownership of SmartAlec™. You acknowledge and agree that the Software and Documentation offered on this site (and as modified or revised from time to time) are owned exclusively by us. The Software and Documentation are protected under copyright and other intellectual property laws of New Zealand and international copyright treaties.
     
  4. Your information and data input by you into this SmartAlec™ powered web site is your property. If this Agreement is terminated, we shall return that information and data to you on your first demand using a medium such as Microsoft Word®. You shall also be entitled to receive those design elements developed by us in Adobe Photoshop® specifically for your SmartAlec™ powered website, provided you have made all payments due to us. All other intellectual property rights in and relating to SmartAlec™ belong to us.
     
  5. When you use the Software or Documentation you must use it only as directed by us. We grant you a non-exclusive, non-transferable license to access and use Software and Documentation for your use of the SmartAlec™ product. We do not transfer any ownership rights to any part of the Software and Documentation to you and we reserve all rights not expressly granted.
     
  6. By accessing Software and Documentation you agree not to: reverse engineer, decompile or disassemble, modify, translate or make any derivative works of any part of Software and Documentation; Remove any copyright, trademark, patent or other proprietary notices from any Software and Documentation web site or otherwise breach any of our intellectual property rights; Rent, lease, lend or offer Software and Documentation to any other person in any way; Attempt to bypass any security mechanism in place on our systems or services or use any of our systems or services to attempt to bypass any security mechanisms in place on any remote system. This includes but is not limited to running any password cracking software or attempting to access a system which you or any user authorised by you or using your password knows or reasonably should know is not authorised for access in the manner or to the extent attempted; Otherwise gain or attempt to gain unauthorised access to Software and Documentation, our systems or any of our customers systems, information or data; Engage in any illegal or offensive behaviour using Software and Documentation.
     
  7. We may notify you of any rules and policies that apply to your use of Software and Documentation by posting them on our SmartAlec™ website or emailing them to you. These rules and policies will become part of these instructions from the time they are emailed or posted.
     
  8. You agree that it is your responsibility to ensure that you have the correct hardware and software configuration, which is required for the Software and Documentation. You are responsible for any problems relating to your computer systems, Internet connection issues or failure of your Internet Service Provider while using Software and Documentation.
     
  9. This Agreement will be governed by and construed in accordance with the laws of New Zealand and the Parties hereby submit to the exclusive jurisdiction of the courts of New Zealand.
